1. About these terms
These Terms & Conditions ("Terms") form a binding agreement between [Registered business name] ("RestroBeat", "we", "us") and anyone who uses the RestroBeat website, web app, desktop app, kiosk, QR ordering pages or APIs (together, the "Service").
By registering a restaurant, signing in, or placing an order or booking through the Service, you agree to these Terms, our Privacy Policy and our Refund Policy. If you do not agree, do not use the Service.
These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and need no physical or digital signature.
2. Who uses RestroBeat
- Restaurant Owners — businesses that register a restaurant and subscribe to the Service ("you" in most of these Terms).
- Staff — managers, waiters, kitchen, billing and inventory staff whose logins are created by a Restaurant Owner. The Restaurant Owner is responsible for what its Staff do.
- Guests — customers who order by QR code, kiosk or takeaway, or book a table at a restaurant using the Service.
3. Eligibility and accounts
- You must be at least 18 years old and able to enter a contract under the Indian Contract Act, 1872 (or the law of your country) to register a restaurant.
- Business details you give at registration — legal name, address, GSTIN or tax number, FSSAI or food licence where required — must be true and kept up to date.
- You are responsible for keeping passwords, manager PINs and staff logins secret, and for all activity under your account. Tell us at once if you suspect unauthorised use.
- We may refuse, suspend or close an account that gives false information or breaks these Terms.
4. Free trial, plans and billing
- Every new restaurant gets a 90-day free trial with full access. No payment is taken during the trial.
- After the trial, the Service is billed per outlet, on the annual or monthly plan you choose, at the price shown on our pricing section or agreed with you in writing. Indian restaurants are billed in INR; restaurants elsewhere in USD.
- Fees are payable in advance for each billing period. Prices are exclusive of GST or other applicable taxes, which are added to the invoice.
- If payment is not received when the trial or a paid period ends, the account is marked payment-due and we may limit or suspend access until it is paid. Your data is kept as described in our Privacy Policy.
- We may change prices for future billing periods with at least 30 days' notice. A change never affects a period you have already paid for.
- Adding an outlet adds that outlet's fee from the date it is added.
No refunds on subscription fees. Because the 90-day free trial lets you fully evaluate the Service before paying, subscription fees once paid are non-refundable, as set out in our Refund Policy.
5. Restaurant Owner responsibilities
RestroBeat is software. The restaurant — not RestroBeat — sells the food and is solely responsible for:
- Food quality, safety, hygiene, allergen information, prices, menu descriptions and images, and compliance with the Food Safety and Standards Act, 2006 and local licensing.
- Correct tax settings and bills, including GST rates, HSN/SAC codes, invoices and returns. RestroBeat computes taxes from the settings you enter; checking them is your responsibility.
- Accepting, preparing, rejecting and fulfilling Guest orders and table bookings, and handling Guest complaints and refunds.
- Having a lawful basis and any required consent to collect Guest data (such as mobile numbers) through the Service, and using it only as allowed by the Privacy Policy and applicable law.
- Your accounts with third parties you connect — payment gateways (e.g. Razorpay), UPI, delivery platforms (e.g. Swiggy, Zomato), WhatsApp or missed-call providers, Tally and printers — and their fees and terms.
- Keeping your own backups of records you are legally required to retain, such as tax invoices and accounts.
6. Guest orders, bookings and payments
- When a Guest orders or books through RestroBeat, the contract for food and service is between the Guest and the restaurant. RestroBeat only provides the technology.
- Online payments for takeaway orders go directly into the restaurant's own payment gateway or UPI account. RestroBeat does not hold or receive Guests' money.
- An order can be rejected or changed by the restaurant. When that happens on a prepaid order, the difference is refunded as described in our Refund Policy.
- Guests may be asked to verify their mobile number (for example by OTP, WhatsApp or missed call) or enter a display code before ordering, to prevent fake orders.
- Prices, availability, preparation times and pickup times are set by the restaurant and may change.
7. Acceptable use
You must not, and must not let anyone else:
- Use the Service for anything unlawful, fraudulent, or to sell prohibited goods.
- Upload content that is false, defamatory, obscene, infringing, or otherwise prohibited by Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
- Try to access other restaurants' data, probe or break security, or bypass usage limits or manager approvals.
- Copy, resell, reverse engineer or build a competing product from the Service, except as the law expressly allows.
- Overload the Service with automated requests, or send spam to Guests.
8. Your data
- You own the business data you enter — menus, orders, bills, inventory, staff and customer records ("Restaurant Data").
- You grant RestroBeat a limited licence to host, process and back up Restaurant Data only to run, secure and support the Service. For Guest personal data, the restaurant decides why and how it is used and RestroBeat processes it on the restaurant's behalf.
- You can export your reports, journals and Tally files at any time while your account is active.
- How we handle personal data is described in our Privacy Policy.
9. Intellectual property
The Service, its software, design, logos, help videos and documentation belong to [Registered business name] or its licensors and are protected by law. We give you a limited, non-exclusive, non-transferable right to use the Service for your restaurant business while your account is in good standing. Feedback and suggestions you share may be used to improve the Service without obligation to you.
10. Availability, offline use and changes
- We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Planned maintenance will be announced where practical.
- The offline counter mode stores bills on the device and syncs them when the internet returns. Data that has not synced yet can be lost if the device is reset or damaged.
- We may add, change or remove features. We will not remove a core feature you pay for during a paid period without reasonable notice.
- Third-party services (payment gateways, delivery platforms, messaging providers) are outside our control; we are not responsible for their outages or decisions.
11. Disclaimers and limitation of liability
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of fitness for a particular purpose, merchantability or non-infringement.
To the extent the law allows, RestroBeat is not liable for indirect, incidental, special or consequential losses, including lost profits, lost sales or lost data, and our total liability for any claim relating to the Service is limited to the subscription fees you paid us in the 12 months before the claim arose.
RestroBeat is not responsible for food, service, hygiene or disputes between a restaurant and its Guests, staff or third-party partners.
Nothing in these Terms limits any liability that cannot be limited under applicable law, including rights Guests have under the Consumer Protection Act, 2019.
12. Indemnity
Restaurant Owners agree to indemnify [Registered business name] against claims, penalties and costs arising from their food, menu content, taxes, use of Guest data, breach of these Terms, or breach of law.
13. Suspension and termination
- You may stop using the Service at any time by asking us to close your account. No refund is due for the remaining paid period (see the Refund Policy); access continues until that period ends.
- We may suspend or terminate an account for non-payment, breach of these Terms, fraud, or when required by law, with notice where reasonable.
- After closure you may request an export of your Restaurant Data within 30 days. After that it may be deleted, except what we must keep by law.
14. Governing law and disputes
These Terms are governed by the laws of India. Subject to the next paragraph, the courts at Nellore, Andhra Pradesh, India only shall have exclusive jurisdiction over all disputes arising from or relating to these Terms or the Service.
We encourage you to first raise any dispute with our support team or Grievance Officer. Disputes between businesses that are not resolved within 30 days may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Nellore, in English. Guests keep their right to approach a Consumer Commission.
15. Grievance Officer
In line with the Information Technology Act, 2000, the rules under it, and the Consumer Protection (E-Commerce) Rules, 2020, our Grievance Officer is:
- Name: [Grievance Officer name]
- Email: [grievance@your-domain]
- Address: [Registered office address, City, State, PIN, India]
We acknowledge complaints within 48 hours and aim to resolve them within 30 days.
16. General
- We may update these Terms. The "Last updated" date shows the latest version; for material changes we will notify Restaurant Owners by email or in the app. Continuing to use the Service after a change means you accept it.
- If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a right is not a waiver of it.
- You may not transfer your account without our written consent. Neither party is liable for delays caused by events beyond its reasonable control.
- These Terms, the Privacy Policy and the Refund Policy are the entire agreement between you and us about the Service.
